Note to Staffing Agencies & Search Firms
Urovant Sciences (“Urovant”) has its own internal talent acquisition department and supplements that internal capability from time to time with assistance from temporary staffing agencies, placement services, professional recruiters, or other similar sources (“Agency” or “Agencies”). Agencies are hereby specifically directed NOT to contact Urovant employees directly or indirectly, or submit unsolicited resumes to Urovant or Urovant employees, in an attempt to present candidates. Urovant’s Talent Acquisition team or other authorized Urovant Human Resources leader must present ALL candidates to hiring managers.
To protect the interests of all parties, Urovant will NOT accept unsolicited resumes from Agencies or any other source other than directly from a candidate. Any unsolicited resumes sent to Urovant, including unsolicited resumes sent to a Urovant mailing address, fax machine or email address, directly to Urovant employees, or to Urovant’s applicant tracking system will be considered Urovant property. Urovant will NOT pay a fee for any placement of a candidate resulting from the receipt of any such unsolicited resumes. Urovant and Agency shall consider any candidate for whom an Agency has submitted an unsolicited resume to Urovant as a referral by the Agency free of any charges or fees.
Agency must obtain advance written approval from Urovant’s Human Resources Department to submit resumes, and then only in conjunction with a valid, fully–executed written agreement between Urovant and Agency for such service and in response to a specific job opening. Urovant will NOT pay any fee to any Agency that does not have such fully-executed written agreement in place with Urovant prior to the submission of the Agency’s candidates resume.
Agency agreements will only be valid if fully executed by Urovant and Agency in writing and signed by an officer of Urovant or his or her authorized designee. NO other Urovant employee is authorized to bind Urovant to any agreement regarding the placement of candidates by Agencies. Urovant hereby specifically rejects, and denies any liability under, any agreement purporting to be accepted based on negative consent, negotiation with a candidate, performance, or any means other than through a fully executed agreement between Urovant and Agency and signed by a Urovant officer or his/her authorized designee.
